| Who | This unique conference is designed for a small group of unconventional, experienced
operators who have the principal elements of their businesses under control and want to see what
lies beyond the edge of their personal and professional thinking. Specifically, Rad3 is a forum for independent (or regional chain) restaurateurs whose sales have improved over last year or whose profits are as good or better than last year. |

| Why | Why? Because all of us are smarter than any of us ... particularly when "all of us"
includes operators who march to the beat of a different drummer, who zig when others are zagging,
who refuse to be the victim of circumstances ... and who laugh all the way to the bank! Who better
to learn from than peers who are already delivering the goods? |

| Expectation | Rad3 is not a performance. There is no pressure to have any answers or impress anyone
-- your results speak for themselves. All you have to do is show up, relax, listen, be open to
insights and actively participate in the process. In thought-provoking sessions with a group of non-competing peers, you will have a forum to compare professional notes and explore new approaches. The intent of the Rad3 is to expand perspective; to shine light into a few blind spots; to break free of traditional (unconscious) business thinking; to blow the sides out of the old box and see what might be lurking outside! |

| Structure | The group discussion will focus on opportunities and solutions rather than problems,
exploring sales-building ideas, marketing strategies, menu structure, pricing practices, cost
controls, staffing, training, profit improvement, expansion and anything relevant to success in the
new marketplace. Joel and Bill will keep the discussion focused, watch the clock and help the group dig deeper into causes and effects. The group will determine its own priorities on the topics to address and we expect everyone to contribute to the discussion. We also ask that you keep your comments brief and to the point. If you want to ramble on about something, do it on the break! |

| Dining | Most of the great restaurants in one of the country's greatest restaurant towns are
within walking distance of the hotel (and the hot nightspots are an easy crawl away!) so we
anticipate significant "research" opportunities as well. |
|
| Recording | We will be recording the proceedings and each principal will receive a full set of the
CDs and a transcript shortly after the session ends. By registering for the event, you give Bill
Marvin and Joel Cohen permission to make and distribute this recording and transcript to
program participants and to market a limited number of copies to non-attendees. We realize that some entrepreneurs get nervous when the conversation turns toward competitive business strategy. They prefer to keep their "trade secrets" close to the vest rather than risk a competitor getting wind of what they are up to. Just a word on that if we may: First of all, your competitors won't be in the room ... but you know that even if you gave your entire business plan to every operator in your market, the lazy fools wouldn't do a thing with it anyway! Secondly, your secret weapons are really YOU, your ability to innovate and your willingness to take action. Success is less about what you do and more about the fact that you are willing to do anything at all. All that said, a certain amount of uneasiness at the prospect of total candor is normal ... but not to worry. If anything comes up in the course of the recorded discussion that you prefer to keep confidential, just let us know and we will delete that content from any material going to "outsiders." In case you are still concerned, one last thought: Rudyard Kipling is alleged to have said, "They copied and copied and copied, but they couldn't copy my mind. So I left them sweating and stealing, a year and a half behind." Our point here is that by the time a competitor could implement something you are doing now, it would already be old news and you would be on to the next big thing. So relax ... it's all good! |

| Results | This is the only event of its kind in the country. We believe that tapping the power of
this collective pool of talent can help us all expand our thinking, gain potent new insights and
have a positive impact on each others' personal and professional futures. We also believe that the
synergy of the group can move us all to new (and higher) levels of understanding we might not be
